Offering Terms & Requirements

Sale of Property: Draft Purchase and Sale Agreement shall be provided by Seller.

Property shall be sold on an “As Is” “Where Is” basis. The sale of the Property is made on a strictly “As Is” “Where Is” basis as of the Closing Date, and Seller makes no warranty or representation, express or implied, or arising by operation of law, including but in no way limited to, any warranty of quantity, quality, condition, habitability, merchantability, suitability or fitness for a particular purpose of the Property, any improvements located thereon or any soil conditions related thereto.

Price: Property has been broken into nine (9) different blocks. See attached summary for acreage and price per acre for each block. Offers can be made on a per Block basis and/or entire farm.

Offer Date: Offers to be submitted to Murray Commercial prior to November 15, 2018

Closing Date: Closing shall occur within 15 days following expiration of Inspection Period. Desired Closing Date to be prior to December 31, 2018

Purchase Price: Cash Offer Amount to be disclosed within the Offer

Farm Leases: Offers subject to existing leases. Existing Leases shall expire on February 28, 2019. Cash Rent at $255/acre with installments due March 1, 2018 & November 1, 2018

Survey: Seller shall provide survey of parcels prior to Closing

Title Review: Purchaser shall have 14 days from PSA Effective Date to review Seller Title

Inspection Period: Purchaser shall have 30 days from PSA Effective Date to review Property

Real Estate Taxes: Shall be prorated as of Closing Date

Conveyance of Property: Executor’s or Trustee’s Deed

Seller’s Broker: Murray Commercial is the Exclusive Broker of Seller and Seller shall pay real estate commission to Murray Commercial per separate agreement. Murray Commercial will not be offering a cooperating brokerage fee.

Buyer’s Broker: Buyer’s Broker shall be paid real estate commission per separate agreement between Buyer and Buyer’s Broker. Seller shall not be responsible for a real estate commission to Buyer’s Broker.
